<p>The article deals with the theoretical and legal aspects of smart contracts in civil law. Distributed ledger technology (blockchain) is considered as the environment in which the concept of a smart contract emerged and operates. The main doctrinal approaches to its legal nature are analysed: a smart contract as an independent contract, as a special form of contract, as a means of performance of an obligation and as a computer program. The author argues that a smart contract is not an independent type of contract but a software mechanism for the automated performance (and in some cases conclusion) of a civil law contract, and in Russian law its use rests on Article 309(1), paragraph 2, of the Civil Code. The article also shows how smart contracts relate to tokens, NFTs included, and to digital rights under Article 141.1 of the Civil Code. The key problems of the use of smart contracts are identified: immutability of the code, the oracle problem, the gap between the code and the will of the parties, the difficulties of protecting the weaker party and of dispute resolution. Based on a comparative analysis of the legislation of the USA, Belarus, Italy, the European Union and the United Kingdom, as well as the Bank of Russia Concept of the commercial smart contract platform for the digital ruble (2026), proposals for the development of Russian regulation are formulated: a statutory definition of a smart contract, the priority of the terms agreed by the parties over the program code, and requirements for the safe termination of the program.</p>
<kwd-group xml:lang="ru"><kwd>смарт-контракт</kwd><kwd>правовая природа договора</kwd><kwd>блокчейн</kwd><kwd>цифровые права</kwd><kwd>токен</kwd><kwd>NFT</kwd><kwd>оракул</kwd><kwd>автоматическое исполнение</kwd><kwd>цифровой рубль</kwd></kwd-group><kwd-group xml:lang="en"><kwd>smart contract</kwd><kwd>legal nature of contract</kwd><kwd>blockchain</kwd><kwd>digital rights</kwd><kwd>token</kwd><kwd>NFT</kwd><kwd>oracle</kwd><kwd>automated performance</kwd><kwd>digital ruble</kwd></kwd-group></article-meta></front><back><ref-list><ref id="ref1"><mixed-citation publication-type="other" xml:lang="ru">[1] Szabo N. The Idea of Smart Contracts. 1997.
